1. Introduction and Agreement to Terms
These Terms and Conditions ("Terms") strictly govern your use of the Geophrase website, platform, application programming interfaces (APIs), and any related services (collectively, the "Service").
The Service is owned and operated by Geophrase Web Services LLP, a Limited Liability Partnership registered under the laws of India (hereinafter referred to as "the LLP", "we", "us", or "our").
By accessing our website, creating an account, or using our Service, you represent and warrant that you are at least 18 years of age, and possess the absolute legal authority to form a binding contract under the Indian Contract Act, 1872, on behalf of yourself or the business entity you represent. In these Terms, “you” and “your” mean any person who accesses or uses the Service, including businesses that hold a Geophrase account (“Client”), their team members and delivery agents, and customers and visitors who use a Geophrase store link, address picker or order link. By utilizing the Service, you agree to be legally bound by these Terms. If you do not agree to these Terms in their entirety, you must immediately cease use of our Service.
2. Service Description and Disclaimer of Agency
The Service is delivery management software. It lets you add and import orders, assign them to your delivery agents, give agents a rider app with route planning, confirm deliveries with customer One-Time Passwords (OTPs) or photo proof, and review delivery records and trip distances. Optional features include GPS address capture, store links and APIs. We do not verify, validate, or guarantee the accuracy of any user-provided data.
Absolute Nature of the Service: Geophrase is strictly a software-as-a-service (SaaS) provider. We are not a courier, logistics company, carrier, or delivery service. We do not transport, handle, store, insure, or deliver any goods. The Service is purely a software and record-keeping tool; all physical delivery, fulfillment, and the employment, engagement, and supervision of delivery agents are performed solely by you and remain your exclusive legal liability.
We reserve the absolute right to modify, suspend, or discontinue the Service, or any part or feature thereof, at any time without prior notice. You agree that we shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.
3. Service Limitations
Trip Distances: Trip distances are road distances calculated between the recorded delivery points. They are not a record of the actual path travelled. Any payments you make based on them are your decision and your responsibility.Routes and Maps: Routes and maps come from third-party map services. We do not guarantee their accuracy, traffic conditions or the legality of any route. Delivery agents must obey traffic laws and must not use the App while riding or driving.Identity Verification: Aadhaar verification is performed by a third-party provider. It confirms the Aadhaar record only, not a delivery agent’s background, character or reliability.SMS and Email Delivery: We do not guarantee that OTPs, SMS or emails reach their recipients, as delivery depends on telecom operators and third-party providers.Store Links: You are solely responsible for your catalogue content, prices, order handling and the sale to your customer. Geophrase is not a party to any sale.
4. User Accounts and Security Liabilities
Registration: To access our Service, you must create an account providing accurate and complete entity information.Account Security & OTP: Dashboard access is granted via a One-Time Password (OTP) sent to your registered email address. You are solely responsible for maintaining the security of your communication devices. You agree that we bear zero liability for any loss, damage, or unauthorized data access arising from your failure to secure your email account or mobile device.API Keys: You are strictly liable for the security and all use, authorized or unauthorized, of your API keys.Delivery Agents: You are exclusively responsible for the conduct, actions, and performance of any delivery agents operating under your account. You assume all legal and financial liability for ensuring they are legally authorized to act on your behalf.Team Members: You are bound by, and responsible for, all actions of the team members you invite, including admins, managers and developers.
5. Acceptable Use Policy
You are strictly prohibited from misusing the Service. You agree not to:
Probe, scan, or test the vulnerability of any system or network.Breach or otherwise circumvent any security or authentication measures.Use the Service for any illegal, fraudulent, or unauthorized purpose, including activities violating the Information Technology Act, 2000.Resell, repackage, or sub-license the Service without explicit written permission.Use agent location data for unlawful surveillance or any purpose beyond managing your deliveries.Reverse-engineer, decompile, or attempt to extract the source code of the Service.Upload or offer through a store link any content or goods that infringe another person’s rights, or are obscene, defamatory, misleading or unlawful, including goods whose sale requires a licence you do not hold.
We may remove any content, or reclaim or disable any store link username, without notice.
6. Financial Terms, Wallet Non-Refundability, and Pricing
Prepaid Wallet and Non-Refundability: Geophrase operates on a prepaid wallet model. All deposits made to the Geophrase prepaid wallet are absolute, final, and non-refundable. Unused wallet balances cannot be transferred, withdrawn, or exchanged for cash under any circumstances whatsoever, including upon account termination, suspension, or cessation of business operations. Any remaining balance upon termination is immediately forfeit.Usage Fees: Paid features, such as Delivery Management and GPS address capture, are charged per use at the rates shown on our pricing page or otherwise communicated to you, and are deducted directly from your prepaid wallet.Final Deductions: Usage fees, once deducted, are final and non-refundable, including when an order later fails or is cancelled. Wallet deductions are final unless you dispute them in writing at support@geophrase.com within 7 days of the deduction.Taxes: All prices are exclusive of applicable taxes. Where we are required by law to charge GST or any other tax, it will be added to the amounts payable.Promotional Credits: Promotional credits, including sign-up credit, have no cash value, cannot be withdrawn or transferred, and may be changed or withdrawn at any time.Price Modifications: We reserve the absolute right to modify our pricing and fee structures at any time. Any changes in pricing will take effect immediately upon posting on our website or platform, without any requirement for prior, advance, or individual notice.Failed Transactions & Chargebacks: Any attempt to initiate a fraudulent chargeback or failure to maintain adequate wallet balance may result in suspension of paid features, or of API and dashboard access.
7. Intellectual Property Rights
The Service and all original materials therein, including software, design, APIs, and source code, are the exclusive property of Geophrase Web Services LLP and are protected by Indian and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license strictly to use the Service in accordance with these Terms. You grant us a royalty-free, non-exclusive licence to host, process, resize, stamp and display the content you upload, such as catalogue images and photo proofs, to provide the Service.
8. Data Privacy, TRAI Compliance, and Audit Retention
Data Fiduciary Status: You are responsible for ensuring that any customer data you pass to our Service, including addresses and location data, is handled in strict compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act). You act as the Data Fiduciary and we act as a Data Processor, except for customer profiles in Geophrase store links and address pickers, and delivery agents’ App accounts and identity verification, as described in our Privacy Policy and App Privacy Policy.
Delivery Agent Location: If you utilize Delivery Management, you warrant that you have established a lawful basis to collect your delivery agents’ location as described in our Privacy Policy and have obtained their explicit consent.
Telemarketing and SMS Consent (TRAI Compliance): The Service facilitates the transmission of SMS, emails and OTPs to your end-customers, delivery agents and team members. You explicitly represent and warrant that you have obtained verifiable consent from each of them to receive transactional communications, in strict compliance with the Telecom Regulatory Authority of India (TRAI) regulations and the TCCCPR. You agree to fully indemnify and hold us harmless against any claims, penalties, or legal action arising from unsolicited commercial communication (UCC) or spam complaints initiated by any of them.
Data Retention: Upon account termination or user deletion, we reserve the right to retain transactional data, delivery event ledgers, and audit logs for as long as necessary to resolve disputes, investigate fraud, and comply with our legal obligations, as permitted or required by law.
9. Disclaimer of Warranties and Limitation of Liability
The Service is provided strictly on an "as is" and "as available" basis without warranties of any kind. We make no warranty that the Service will be uninterrupted, secure, or error-free.
Explicit Disclaimer regarding Logistics and COD: You acknowledge that we are not a logistics provider. To the maximum extent permitted by law, we shall bear absolutely no liability for: any loss, theft, damage, delay, misdelivery, or non-delivery of goods; the acts, omissions, intentional misconduct, or criminal behavior of any delivery agent; any loss, theft, misappropriation, or dispute regarding Cash on Delivery (COD) payments or any other financial transaction between you, your agents, and your customers; or any decision made by you in reliance on GPS or OTP data provided by the software.
In no event shall Geophrase Web Services LLP, its partners, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total aggregate liability to you for any claim arising out of these Terms or the Service shall not exceed the usage fees deducted from your wallet for paid features, excluding promotional credits, in the one (1) month immediately preceding the event giving rise to the claim, or ₹1,000, whichever is lower, subject to a minimum of ₹100.
10. Indemnification
You agree to irrevocably defend, indemnify, and hold harmless Geophrase Web Services LLP, its partners, employees, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any privacy or DPDP Act right; (d) any claim that your actions, or the actions of your delivery agents, caused financial or physical damage to an end-customer or third party; or (e) any claim, dispute or proceeding brought by or concerning your delivery agents or staff, including claims relating to wages, reimbursements, employment or contractor status, accidents, or identity verification. This indemnification obligation will survive the termination of your account.
11. Termination
We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any breach of these Terms or for any other operational or legal reason at our sole discretion. Upon termination, your right to use the Service ceases immediately, and any remaining balance in your prepaid wallet is permanently forfeit.
12. General
Force Majeure: We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of telecom, cloud, payment or map service providers.Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.Entire Agreement: These Terms, together with our Privacy Policy and App Privacy Policy, are the entire agreement between you and us regarding the Service.Assignment: We may assign or transfer these Terms. You may not do so without our written consent.No Waiver: Our failure to enforce any right or provision is not a waiver of it.Electronic Record: These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not require any physical or digital signature.Survival: Sections 6 to 10, 12 and 13 survive the termination of your account or these Terms.
13. Governing Law and Jurisdiction
These Terms shall be governed and construed exclusively in accordance with the laws of India. Any dispute, claim, or controversy arising out of or in connection with these Terms shall be subject to the exclusive and absolute jurisdiction of the competent Courts situated in Guwahati, Assam, India.
14. Grievance Redressal
In accordance with the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000, we have designated our Support Manager as the Grievance Officer. You may contact the Grievance Officer via email at support@geophrase.com.
